Definition of our terminology

  • A Project is any work undertaken or service provided by TSL Designs for the Client on their request and as described in our confirmation order Email / Letter to that Client.
  • A Client is a person, persons, business or organization using any of the services provided by TSL Designs. 
  • Live Mode means the date the web site is available on the Client’s chosen domain. 
  • Domain is the web site address as specified by the Client. 
  • Hosting is a yearly cost to keep a client’s web site activated online. 
  • Content is both text and images that the Client requires on the project. 
  • mb stands for megabytes and is a measure of storage space.

TSL General Terms & Conditions

1. Work

Client requests TSL Designs to create a Project. Work includes only the final, deliverable Work, and not any preliminary Work or sketches.

2. Payment

50% of the total fee is required before any services will be rendered, and the remaining 50% is payable within 7, 14, 30 calendar days of receipt as defined by the invoice. A 8% service charge is payable on all overdue balances for reissuing each invoice at 7, 14, and 21 (in increments of 7) days from the date of original invoice . The grant of any license or right of copyright is conditioned on receipt of full payment.

3. Estimates

The fees and expenses shown are minimum estimates only unless an hourly fee or set price has been agreed upon. That fee will be from £35.00 - £55.00 per hour (dependant on Project) and TSL Designs shall provide the Client of a tally of hours within a reasonable period of time upon request if such is the measure of the fee. Final fees shall be shown when invoice is rendered and on Client request additionally an invoice break down can be rendered showing expenses, work hours and Licence/Rights Purchases.

4. Grant of Rights

TSL Designs agrees to the perpetual license of the right to display and transmit Work to Client, excluding the right to authorship credit, modification, and resell, which is retained by TSL Designs. TSL Designs agrees that Work is produced with the intent it be unique and will not seek to resell or publish Work, except as noted below.

5. TSL Designs Right to Authorship, Credit & Design

TSL Designs may use Work in TSL Designs portfolio (including, but not limited to, any website that displays Designer's Works and use in Advertisement Media). Client does not have to display TSL Designs name together with Work but on first publication it will be present and can be removed by the Client, unless being described with any editorial usage, but Client may not seek to mislead others that Work was created by anyone other than TSL Designs.

6. Cancellation

The fee for Work is refundable pending only upon TSL Designs in breach of this contract. In the event of cancellation of this assignment, ownership of all copyrights and the original artwork shall be retained by the TSL Designs, and a cancellation fee for work completed, shall be paid by the Client. If the project is on an hourly basis and the project is cancelled by the Client, the Client agrees to pay no less than 100% of the hours already billed for the project at the time of cancellation plus a flat fee 50% of the remaining hours that were expected to be completed on the project, whichever is greater.

7. Limitation of Liability

Client agrees that TSL Designs will not be liable for any incidental or consequential damages that arise from TSL Designs performance of this commission (including, but not limited to, failure to perform in a timely manner, regardless of whether the failure was intentional or negligent.)

(excluding, factual delays these include; Delays in paperwork Client or by TSL Designs, Payment Failure's, Acts of god but not limited to)

TSL Designs is not liable for loss, damage or corruption to files or information stored on its servers or individual PC’s relating to a Client's project. The Client is solely responsible for any information or files relating to the project.

8. Claims, Endorsement, Responsibilities, Disputes and Governing Law

It is the Client's responsibility to check with TSL Designs whether Open Source Software is being used or not.

TSL Designs cannot be held responsible for anything adversely affecting the Client's business operation, sales, or profitability that might be claimed is a result of a service offered by TSL Designs.

TSL Designs makes no claims that the contents of the Project may be lawfully viewed or downloaded outside England and Wales. Access to the Project may not be legal by certain persons or in certain countries. If the Project is accessed from outside of the United Kingdom, it is done at own risk and the visitor is responsible for compliance with the relevant laws of the visitor’s jurisdiction. The terms and conditions of the Project are governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of the Projects Content shall lie exclusively with the courts of England. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect.

TSL Designs has no control of, or responsibility for, the content of Client's project. In no way does the textual or image based Content of our Client's Project constitute TSL Designs endorsement, or approval of the project or the material contained within the project. TSL Designs has not verified any of the materials, images or information contained within our Client's project and is not responsible for the content or performance of these projects or for the Client's transactions with them. TSL Designs provides links or references to our Client's Project solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but does not guarantee or warrant that such links will point to the intended Client project at all times.

If a Domain name is purchased by the Client through a company other than TSL Designs, the Client has full responsibility in making sure that the domain name is renewed when due. TSL Designs will not renew the Domain name when annual Hosting renewal is due if the Domain name is purchased through a company other than TSL Designs.

Any dispute under or about this Agreement must be submitted to TSL Designs to be resolved.

9. Acceptance of terms

The action of the sending and receipt of this agreement via electronic method or direct mail will hold both parties in acceptance of these terms. TSL Designs as sender and Client as recipient will acknowledge acceptance of these terms either through an e-mail noting acceptance or acceptance is acknowledged at the beginning of any work on said project. And by signing this agreement the Client Agrees to these terms (Electronic signatures shall be considered legal and binding.)
